General Terms of Conditions
CHEFS’ by Lise Timmer (“CBLT”)
Effective Date: 1 July 2025
1. Definitions
1.1 “Client” – any natural or legal person engaging CBLT to supply, introduce, or mediate personnel, including chefs, culinary creatives, and other freelance talent (“Talent”).
1.2 “Talent” – any individual introduced, represented or placed by CBLT to perform assignments or collaborations with the Client.
1.3 “Assignment” – any project, shift, booking, event, or activity performed by the Talent for the Client.
1.4 “Agreement” – the contractual relationship between CBLT and the Client, consisting of these General Terms and Conditions and any specific agreements, quotations, or confirmations issued by CBLT.
2. Purpose
CBLT provides recruitment, placement, and coordination services for culinary and creative professionals. The Client contracts CBLT for the introduction or hiring of Talent for temporary or project-based Assignments.
3. Confidentiality & Data Protection
3.1 All personal and professional data exchanged between the parties is strictly confidential and subject to these Terms and Conditions.
3.2 Each party undertakes to comply with French and EU data protection laws, including the GDPR (Règlement Général sur la Protection des Données).
3.3 Data may only be used for the purposes of the Assignment and shall not be shared or repurposed without prior written consent.
4. Exclusivity & Non-Solicitation
4.1 All contact, negotiation, and business relating to Talent introduced by CBLT must go exclusively through CBLT.
4.2 The Client agrees not to directly or indirectly solicit, hire, engage, or contract with Talent without CBLT's prior written consent, during the Assignment and for a period of 12 months thereafter.
4.3 In the event of a breach, the Client shall be liable for a contractual penalty of €5,000 (five thousand euros) per day, per infringement, without prejudice to CBLT’s right to claim additional damages or seek injunctive relief.
5. Brand & Logo Use
5.1 CBLT reserves the right to involve Ambassador Brands in Assignments and to require collaboration with them.
5.2 Client agrees to the display of the Ambassador Brands' logos and the CBLT logo in connection with relevant projects, promotional content, and shared media, unless explicitly objected to in writing before the Assignment.
6. On-Site Supervision
CBLT may only guarantee quality control of the Talent and Assignment when a CBLT representative is physically present on site. In the absence of such presence, CBLT’s role is strictly limited to intermediary and coordination services.
7. Talent Conduct & Liability
7.1 Talent engaged via CBLT are independent professionals, not employees of CBLT unless otherwise stated.
7.2 CBLT is not liable for the conduct, negligence, or misconduct of Talent once on assignment, unless arising from a proven fault in the recruitment or vetting process.
7.3 The Client assumes responsibility for working conditions, safety, and the environment provided to the Talent.
8. Fees & Payment
8.1 All fees, rates, and conditions shall be detailed in a written quotation or confirmation.
8.2 Invoices are payable within 14 calendar days from the invoice date.
8.3 Any late payment will automatically and without notice incur penalties according to Article L441-10 of the French Commercial Code, and a fixed recovery fee of €40, without prejudice to CBLT’s right to claim additional damages.
9. Cancellation Policy
9.1 Assignments cancelled less than 72 hours before their start time will be invoiced in full.
9.2 CBLT will make reasonable efforts to replace unavailable Talent, but does not guarantee the availability of replacements.
10. Intellectual Property
All creative work or deliverables developed by the Talent specifically for the Client become the property of the Client upon full payment, unless agreed otherwise in writing.
11. Insurance & Risk
The Client shall ensure that appropriate civil liability insurance (responsabilité civile professionnelle) is in place to cover any damage, injury, or loss occurring during the Assignment.
12. Force Majeure
Neither party shall be held liable for delays or failure to perform due to causes beyond their reasonable control, including but not limited to natural disasters, strikes, governmental restrictions, or pandemics.
13. Termination
In case of material breach by either party, and failure to remedy within 7 calendar days of written notice, the Agreement may be terminated immediately without further liability.
14. Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and interpreted under French law.
Any dispute shall be submitted to the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de commerce de Paris), unless CBLT chooses to bring the matter before another competent jurisdiction.
15. Final Provisions
15.1 These Terms supersede all previous agreements or understandings, whether verbal or written.
15.2 No variation or waiver is valid unless agreed in writing by both parties.

If we make material changes to this policy, we will notify you here that it has been updated, so that you are aware of what information we collect, how we use it, and under what circumstances, if any, we use and/or disclose it.
